These Terms and Conditions (“Terms”) govern your access to and use of the Outsourcee platform, including its associated websites, mobile applications, software systems, and any services provided therein (collectively, the “Platform”). These Terms constitute a binding legal agreement between you and Outsourcee Philippines, Inc., its parent company Comptrolla Technologies, Inc., and their respective subsidiaries, affiliates, officers, directors, employees, contractors, and agents (collectively, “Outsourcee,” “we,” “our,” or “us).
By accessing, browsing, creating an account, or using any part of the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you must refrain from using the Platform immediately.
1. DEFINITIONS
• Client: Any person or entity using the Platform to book or receive services.
• Expert: A subcontracted service provider onboarded by a registered Company to deliver services to Clients.
• Company: A registered entity using the Platform to engage Experts and provide services to Clients.
• User: Any person accessing or using the Platform, including Clients, Experts, and Companies.
• Service Agreement(s): Executed contracts between Clients and Companies, including those generated or accepted through the Platform.
• Mobilization Fee: Initial payment made by Clients to secure services via the Platform.
• Wallet: Virtual account managed within the Platform where funds are stored, allocated, or withdrawn.
• Stakeholder: Any entity entitled to payment, such as Companies, Experts, Growth Partners, Affiliates, etc.
• Force Majeure: Events outside reasonable control, such as natural disasters, pandemics, war, cyberattacks, and government restrictions.
2. ACCEPTANCE OF TERMS
By using the Platform, you confirm that:
• You are at least 18 years old or meet the legal age in your jurisdiction;
• You have the legal capacity to agree to these Terms;
• You will comply with all applicable laws.
3. PLATFORM ROLE
Outsourcee acts solely as a facilitator that connects Clients, Companies, and Experts. We do not supervise, direct, or control the services provided.
Disclaimer: Outsourcee is not a party to any contract for services, does not control service delivery, and is not liable for disputes between Users.
4. USER ACCOUNTS
• Users must provide accurate and current registration details.
• You are responsible for your credentials and all activity on your account.
• We reserve the right to suspend or terminate accounts for fraud, abuse, or noncompliance.
5. PAYMENT TERMS AND WALLET SYSTEM
5.1 General
All transactions must occur via authorized Platform payment methods. Wallet balances represent conditional credits, not bank deposits.
5.2 Fees and Disbursements
• Mobilization Fees, final payments, booking fees, and platform service charges are determined solely by Outsourcee and may vary without prior notice.
• Users agree to pay all applicable fees and charges as determined by Outsourcee from time to time at its sole discretion.
5.3 Regulatory Disclaimers
• Outsourcee is not a licensed money service business (MSB) and uses third-party providers (e.g., Maya, PayMongo).
• You authorize us to manage disbursements per transaction rules.
5.4 Fraud and Chargebacks
Outsourcee is not responsible for payment reversals, fraud, or chargebacks initiated by financial institutions.
5.5 KYC/AML Compliance
We reserve the right to collect identification and comply with Anti-Money Laundering laws.
6. SERVICE TRANSACTIONS
Service terms, warranties, pricing, and disputes are governed by the Service Agreement between Client and Company. Outsourcee disclaims responsibility for:
• Delivery timelines
• Service quality or completeness
• Client satisfaction or refund eligibility
7. REFUNDS AND DISPUTES
• Clients must file service complaints within 3 days of completion.
• Outsourcee may, at its discretion, offer a resolution mechanism. Participation may be binding if agreed by both parties.
• Disputes between Users shall be resolved independently unless legally required otherwise.
8. PROHIBITED CONDUCT
You must not:
• Use the Platform for illegal, deceptive, or malicious activity.
• Circumvent Platform fees or solicit Users outside of the Platform.
• Misuse content, scrape data, or deploy bots.
• Harass or defame any other User.
9. INTELLECTUAL PROPERTY
All content, trademarks, source code, UI/UX, and materials on the Platform belong to Outsourcee or its licensors.
If you believe content infringes your IP, notify: admin@outsourcee.app with your legal claim.
10. PRIVACY AND DATA
We process personal data per the Philippine Data Privacy Act of 2012, and applicable international laws (e.g., GDPR, CCPA).
Users outside the Philippines acknowledge that data will be transferred internationally and agree to lawful processing.
11. THIRD-PARTY SERVICES
Outsourcee may link to or integrate with third-party services. We are not liable for their practices, performance, or data policies.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
• We disclaim all implied warranties.
• We are not liable for indirect or consequential damages.
• Our total liability to any User shall not exceed the value determined reasonable under applicable law.
13. INDEMNIFICATION
You agree to indemnify and hold Outsourcee harmless from any claims, damages, or losses arising from:
• Breach of these Terms;
• Misuse of the Platform;
• Disputes or claims from transactions with other Users;
• Violations of law or third-party rights.
14. TERMINATION
We may suspend or terminate your access if you:
• Breach these Terms;
• Fail to remit funds due;
• Engage in fraud or harmful behavior; Wallet balances under investigation may be frozen for up to 90 days or until resolved by authorities.
15. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the Republic of the Philippines. Disputes shall first undergo amicable negotiation.
For international disputes, parties may agree to submit to UNCITRAL Arbitration Rules. Arbitration venue: Quezon City, unless mutually agreed otherwise.
16. AMENDMENTS
Outsourcee reserves the sole and absolute right to revise, update, or modify these Terms at any time and without prior notice. Continued use of the Platform constitutes acceptance of the latest version of the Terms.
If you do not agree with any modification, your sole remedy is to discontinue use of the Platform. Termination of your account does not exempt you from obligations incurred under previous versions.
17. ENTIRE AGREEMENT
These Terms, our Privacy Policy, and any specific agreements (e.g., EULAs, Service Agreements) constitute the full agreement between you and Outsourcee.
18. SURVIVAL
Sections 5, 7, 8, 9, 10, 12, 13, 14, and 15 shall survive termination.
