End-User License Agreement

Welcome to Outsourcee! This End-User License Agreement (“Agreement”) governs your use of the Outsourcee application (“App”), owned and managed by Comptrolla Technologies, Inc. (“we,” “us,” or “our”). By downloading, accessing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the App.

1. License
We grant you a non-exclusive, non-transferable, revocable license to use the App for your personal and professional use subject to the restrictions set forth in this Agreement.

2. User Accounts
a. To access certain features of the App, you must register and maintain an active personal user account (“Account”). You must provide accurate, current, and complete information during the registration process and keep your Account information up-to-date.
b. You are responsible for all activity that occurs under your Account and you agree to maintain the security and secrecy of your Account username and password at all times.

3. User Conduct
a. You may not use the App for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the App.
b. You are solely responsible for your interactions with other users. We are not responsible for the conduct of any user of the App.

4. Content
a. You retain all rights in, and are solely responsible for, the content you post to the App.
b. You grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, save, modify, create derivative works, perform, and distribute your content on the App for the purposes of operating, developing, providing, and using the App.

5. Third-Party Services
The App may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by us. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.

6. Disclaimers
The App is provided on an “as is” and “as available” basis. We disclaim all warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Comptrolla Technologies, Inc., its affiliates, directors, employees, agents, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.

8. Indemnification
You agree to defend, indemnify, and hold harmless Comptrolla Technologies, Inc. and its officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:
(i) your use of and access to the App;
(ii) your violation of any term of this Agreement;
(iii) your violation of any third-party right, including without limitation any copyright, trademark, privacy, or other property, or privacy right; or
(iv) any claim that your content caused damage to a third party.

9. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Agreement.

10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Quezon City, Philippines, without giving effect to any principles of conflicts of law.

11. Changes to This Agreement
We reserve the right to modify or replace these terms at any time. What constitutes a material change will be determined at our sole discretion.
